Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the NovelSights website, application, and related services operated by NovelLogic Ventures (“NovelSights,” “we,” “us,” or “our”). By accessing or using the service, you agree to these Terms.

1. Eligibility

You must be at least the age of majority in your jurisdiction and able to enter into a binding agreement to use NovelSights.

2. Service Description

NovelSights provides a platform that monitors academic and practitioner sources, surfaces selected signals, applies AI-assisted scoring or summarization, and delivers results through the website, dashboard, email, or related product features. We may add, change, suspend, or discontinue parts of the service at any time.

3. Accounts

You may need to create an account to access some features. You agree to: provide accurate and current information; maintain the confidentiality of your login credentials; accept responsibility for activity under your account. You must notify us promptly if you believe your account has been accessed without authorization.

4. Trials, Subscriptions, and Billing

NovelSights may offer free trials, introductory plans, founding-member pricing, recurring subscriptions, or promotional offers. Unless otherwise stated: subscriptions renew automatically until canceled; you authorize us and our payment processors to charge the applicable fees, taxes, and renewal amounts; pricing, plan features, and offer availability may change for future billing periods or future users; promotional or founding-member offers may be subject to eligibility limits, seat limits, time limits, or revocation in cases of abuse or error. If we advertise a trial period, founding-member cap, or grandfathered pricing, those terms apply only as explicitly stated on the applicable offer page.

5. Cancellations and Refunds

You may cancel your subscription at any time, and cancellation will generally take effect at the end of the current billing period unless otherwise stated. Fees already paid are non-refundable except where required by law or expressly stated by us in writing.

6. Acceptable Use

You agree not to: use the service unlawfully or in violation of others' rights; interfere with or disrupt the service; attempt unauthorized access to accounts, systems, or data; reverse engineer, scrape, copy, or systematically extract substantial parts of the service except as permitted by law; use bots or automated methods to access the service in a way that imposes unreasonable load; use the service to build a competing product through unauthorized extraction of outputs, rankings, or content at scale; upload or transmit malicious code or harmful material.

7. Content and Outputs

NovelSights may display or generate summaries, rankings, scores, insights, and other outputs based on third-party materials and automated systems. These outputs are provided for informational purposes only. You acknowledge that: AI-generated or algorithmic outputs may be incomplete, inaccurate, outdated, or biased; NovelSights does not guarantee the accuracy, completeness, legality, originality, or fitness of any output; you are responsible for evaluating outputs before relying on them for business, product, investment, legal, scientific, or operational decisions.

8. Third-Party Sources

The service may link to, summarize, or incorporate material from third-party sources. All third-party trademarks, content, and rights remain the property of their respective owners. Your use of third-party websites or services is governed by their own terms and policies.

9. Intellectual Property

NovelSights and its related software, branding, design, compilations, and service materials are owned by us or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal personal or business use.

10. User Content

If you submit prompts, saved topics, notes, feedback, or other materials to the service, you grant us a non-exclusive, worldwide, royalty-free license to host, use, reproduce, modify, and process that content solely as needed to operate, improve, and support the service. You represent that you have the rights necessary to submit such content.

11. Feedback

If you provide suggestions, ideas, or feedback, we may use them without restriction or compensation to you.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, secure, error-free, or that outputs will meet your expectations.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVELSIGHTS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE; OR $100 CAD. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnity

You agree to defend, indemnify, and hold harmless NovelSights and its affiliates, personnel, and partners from claims, liabilities, damages, losses, and expenses arising from your misuse of the service, your content, or your violation of these Terms.

15. Termination

We may suspend or terminate your access at any time if we reasonably believe you violated these Terms, created risk for us or others, or where required for legal, security, or operational reasons.

16. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules, unless another jurisdiction is required by applicable consumer law.

17. Dispute Resolution

Before filing a formal claim, you agree to contact us at hello@novellogic.ca and attempt to resolve the dispute informally.

18. Changes to the Terms

We may update these Terms from time to time. By continuing to use the service after updated Terms become effective, you agree to the revised Terms.
